Terms of Service

By accessing, browsing, or using the Stratum service ("Service"), website, application programming interface (API), or any related services provided by Stratum ("Stratum," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy and any other applicable policies.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms.

By using this Service, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into binding contracts
• You will comply with all applicable laws and regulations in your use of the Service
• All information you provide to us is accurate, current, and complete

Stratum is a market regime classification and detection service that provides users with real-time and historical analysis of market conditions across various financial instruments, including stocks, cryptocurrencies, exchange-traded funds (ETFs), and foreign exchange (forex) pairs.

The Service provides:

• Market regime classification (trending, ranging, transition states)
• Real-time market state detection and updates
• Historical backtesting data and analysis tools
• API access for integration with third-party platforms and trading systems
• WebSocket streaming for real-time data delivery
• Strategy recommendations based on detected market regimes
• Risk management insights and volatility metrics

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

Account Restrictions: You may not:

• Share your account credentials with any third party
• Create multiple accounts for the purpose of circumventing Service limitations
• Use another person's account without permission
• Create an account using false, misleading, or fraudulent information
• Transfer or sell your account to another person or entity

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

Subscription Plans: The Service is offered through various subscription tiers, including free and paid plans. The features, limitations, and pricing for each tier are described on our pricing page and may be changed at our discretion.

Billing: For paid subscriptions, you agree to pay all fees associated with your chosen plan. Subscriptions are billed on a recurring basis (monthly or annually, depending on your selection) and will automatically renew unless cancelled before the renewal date.

Payment Processing: All payments are processed through secure third-party payment processors. You authorize us to charge your designated payment method for all fees. You are responsible for providing accurate and current payment information.

Free Trials: We may offer free trial periods for certain subscription plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You must provide valid payment information to start a trial.

Refund Policy: All subscription fees are non-refundable except as required by law or as explicitly stated in a separate refund policy. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

Price Changes: We reserve the right to change our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide reasonable notice of price changes.

Taxes: All fees are exclusive of applicable taxes (including sales, use, value-added, and similar taxes), which you are responsible for paying.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm us or users of the Service
• Use the Service for any fraudulent or manipulative trading practices
• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
• Use any automated system, including "robots," "spiders," or "scrapers" to access the Service except as explicitly permitted by our API terms
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service or any proprietary algorithms
• Copy, modify, distribute, sell, or lease any part of the Service without our express written permission
• Resell, redistribute, or otherwise commercialize the Service or data obtained from the Service without authorization
• Use the Service to transmit any viruses, malware, or other malicious code
• Remove, obscure, or alter any legal notices displayed in or along with the Service

API Usage: If you access the Service through our API, you must comply with all API usage limits, rate limits, and documentation. Excessive use or abuse of the API may result in throttling, suspension, or termination of your access.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and legal action.

The Service and its entire contents, features, and functionality (including but not limited to all information, software, algorithms, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Stratum, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

Restrictions: You may not:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission
• Use any data mining, robots, or similar data gathering or extraction methods on the Service
• Create derivative works based on the Service or its content
• Use our trademarks, service marks, trade names, logos, or other branding without prior written consent

Trademarks: "Stratum," "Stratum," and all related logos, product names, and service names are trademarks of Stratum. You may not use these marks without our prior written permission.

User Data: We respect your ownership of data you provide to the Service. However, by using the Service, you grant us a worldwide, royalty-free license to use, process, and analyze your data solely for the purpose of providing and improving the Service.

Data Accuracy: While we strive to provide accurate and timely information, we do not warrant that:

• Market data provided through the Service is accurate, complete, or current
• Regime classifications are correct or will remain valid
• The Service will detect all market regime changes
• Third-party data sources are reliable or error-free

No Professional Relationship: Nothing in the Service creates an advisory, fiduciary, or professional relationship between you and Stratum. We are not acting as your advisor, agent, or representative.

Trading Losses: Stratum shall NOT be liable for any trading losses, investment losses, or financial damages you may incur as a result of:

• Reliance on regime classifications or market data provided by the Service
• Following any strategy recommendations or risk management insights
• Errors, inaccuracies, or delays in market data or regime classifications
• Service outages, downtime, or technical failures
• Unauthorized access to your account or data breaches
• Changes in market conditions or regime states

Maximum Liability Cap: To the extent not prohibited by law, our total liability to you for all damages, losses, and causes of action (whether in contract, tort including negligence, or otherwise) shall not exceed the greater of: (a) the amount you have paid to Stratum in the twelve (12) months preceding the claim, or (b) One Hundred Dollars ($100.00 USD).

Essential Purpose: The limitations of liability set forth in this section shall apply even if any remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Stratum and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Your trading or investment decisions based on information from the Service
• Any fraudulent, negligent, or illegal activities you engage in
• Any content or data you submit, post, or transmit through the Service
• Any dispute you have with other users of the Service

This indemnification obligation will survive termination of these Terms and your use of the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Termination by You: You may terminate your account at any time by following the cancellation procedures in your account settings or by contacting us. If you cancel a paid subscription, you will continue to have access to the Service until the end of your current billing period, but no refunds will be provided for partial subscription periods.

Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms or any applicable policies
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Prolonged inactivity
• Violation of the Acceptable Use Policy
• Requests by law enforcement or government agencies
• Discontinuation or material modification of the Service

Effect of Termination: Upon termination of your account:

• Your right to use the Service will immediately cease
• We may delete your account data and content after a reasonable period
• You will remain liable for all fees and charges incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, indemnification, and limitations of liability

We reserve the right to refuse service to anyone for any reason at any time.

Governing Law: These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of [STATE/JURISDICTION], United States, without regard to its conflict of law provisions.

Jurisdiction and Venue: You agree that any legal action or proceeding relating to your access to or use of the Service shall be instituted in a state or federal court located in [COUNTY], [STATE], United States. You and Stratum consent to the exclusive jurisdiction and venue of such courts.

Dispute Resolution: Before filing any formal legal action, you agree to first contact us to attempt to resolve any dispute, claim, or controversy informally. We will attempt to resolve disputes in good faith.

Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Time Limitation: Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide reasonable notice of material changes by:

• Sending notice to the email address associated with your account

Severability: If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver: No waiver by Stratum of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Export Controls: The Service may be subject to export controls and economic sanctions laws of the United States and other jurisdictions. You agree to comply with all such laws and regulations. You represent that you are not located in, or a resident or national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country.

Third-Party Services: The Service may contain links to third-party websites or services that are not owned or controlled by Stratum. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

No Third-Party Beneficiaries: These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Stratum.

Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
